These General Terms and Conditions of Sale (“CGV”) apply exclusively to product sales and services provided by DESIGN EQUIPEMENTS REPRESENTATION FRANCE INTERNATIONAL – DERFI, SAS with a share capital of 100 000 €, registered with the Bordeaux RCS under number 814 254 264, to customers acting exclusively in the course of their professional activity.
They cover, in particular, the sale of machines and dispensers, adhesive tapes and consumables, spare parts, custom-cut or custom-converted products, as well as maintenance, repair, assessment, manufacturing and adaptation services for custom solutions.

1. Application of the CGV
Any order placed with DERFI implies unreserved acceptance of these CGV.
Any purchasing terms or other documents issued by the customer are not binding on DERFI unless expressly accepted by it in writing.
Specific conditions set out in a quotation, commercial offer or order acknowledgement and expressly accepted by DERFI take precedence over these CGV in the event of a conflict.

2. Quotations and orders
DERFI's prices are provided in a quotation or commercial offer.
Unless otherwise stated, quotations are valid for 30 days from their issue date.
Orders may be submitted by email, telephone, through a DERFI sales representative or using a professional purchase order.
An order becomes final only when DERFI sends its order acknowledgement.
Supplies, services, installations, commissioning, assessments or adaptations include only the elements expressly stated in the quotation and/or order acknowledgement.

3. Prices
Prices are expressed in euros excluding tax (HT), unless otherwise stated. VAT and any other applicable taxes are added according to the regulations in force on the invoicing date.
Transport, specific packaging, customs duties, taxes or other delivery-related costs are charged additionally unless expressly stated otherwise in the quotation or order acknowledgement.
For spare parts, the minimum order amount is 80 € excluding tax (HT), to which transport costs must be added.
For adhesive tapes and consumables, free shipping may be granted on a case-by-case basis. It applies only when expressly stated in the commercial offer or order acknowledgement.
Any discounts, reductions, rebates or special pricing terms granted are those expressly stated in the commercial offer or order acknowledgement and do not establish any entitlement for subsequent orders.

4. Payment
Unless specific terms have been expressly agreed in writing, DERFI invoices are payable within 30 days of the invoice date.
Payments are made by bank transfer or direct debit, to the account stated on the invoice.
No discount is granted for early payment.
DERFI may request special payment terms, particularly a deposit or advance payment, where expressly stated in the quotation or order acknowledgement.
In the event of late payment, penalties become automatically payable, without prior reminder, at a rate corresponding to the interest rate applied by the European Central Bank to its most recent refinancing operation, increased by 10 percentage points.
Any late payment also automatically incurs a fixed compensation of 40 € for recovery costs. Where actual recovery costs exceed this amount, DERFI may request additional compensation upon presentation of supporting evidence.
DERFI also reserves the right to suspend fulfilment or shipment of any current order in the event of late payment.

5. Delivery
Delivery times communicated by DERFI are indicative unless an express written commitment to the contrary appears in the order acknowledgement.
A reasonable delay cannot, in itself, give rise to order cancellation, refusal of the goods or payment of damages.
DERFI may make partial deliveries and issue partial invoices where the relevant products or assemblies can be used separately.
Unless otherwise provided in the quotation, order acknowledgement or an applicable Incoterm, goods travel at the customer's risk from the moment they are handed to the carrier.
Upon receipt, the customer must check the condition, quantity and apparent conformity of the goods and record any relevant reservations with the carrier.
In the event of loss, damage or shortages attributable to transport, the customer must record the necessary reservations and pursue remedies against the carrier within the applicable time limits.

6. Exports
DERFI can deliver to mainland France, overseas territories, within the European Union and outside the European Union.
For international operations, theapplicable Incoterm is the one stated in the quotation or order acknowledgement.
Customs duties, import taxes and other costs relating to the destination country's regulations are borne in accordance with the agreed Incoterm and applicable regulations.

7. Order cancellation
Any cancellation request is subject to DERFI's prior written agreement.
Where cancellation can still be accepted before manufacturing, specific procurement or transport begins, DERFI may charge a fixed amount of 150 € excluding tax (HT) for administrative and cancellation processing costs, together with, where applicable, costs already incurred specifically for the order.
Cancellation is not possible once manufacturing, conversion, specific procurement or shipment of the order has begun, except with DERFI's exceptional written agreement.

8. Returns
No product may be returned without DERFI's prior written agreement.
Acceptance of a return without a defect is a commercial concession and not a customer entitlement.
Any product accepted for return must be returned in its original packaging, complete with accessories and in a condition allowing resale.
Return costs and risks remain the customer's responsibility.
DERFI may apply restocking fees, the terms of which will be communicated to the customer when the return is authorised.
Products manufactured, cut, converted or adapted specifically for a customer are subject to the specific conditions set out in the quotation or order acknowledgement.

9. Claims
Any claim concerning an incorrect reference, quantity, apparent defect or apparent non-conformity must be submitted to DERFI in writing within a maximum of 8 days of receipt.
After this period, the goods will be deemed accepted in respect of apparent defects, without prejudice to legal provisions applicable to hidden defects.
No product may be returned as part of a claim without DERFI's prior agreement.

10. Machine warranty
Unless specific provisions are expressly set out in the quotation or order acknowledgement, new machines sold by
DERFI carry a commercial warranty of 6 months from delivery.
This warranty covers the parts and labour required to repair defects recognised by DERFI as covered by the warranty.
Transport, shipping, return or travel costs remain the customer's responsibility.
The warranty does not cover, in particular:
- wear parts and consumables;
- damage resulting from misuse or failure to follow operating instructions;
- damage resulting from negligence, impact or a cause external to the equipment;
- modifications, dismantling or work carried out by the customer or a third party without DERFI's prior agreement.
DERFI may, at its discretion, repair the equipment or replace the part or parts recognised as defective.
This commercial warranty applies without prejudice to statutory warranties that DERFI cannot lawfully exclude.

11. Adhesives, consumables and fitness for use
Technical information, recommendations, values and specifications communicated regarding adhesives and consumables are based on available information and normal conditions of use.
Given the diversity of substrates, surfaces, processes and conditions of use, the professional customer is responsible for checking in advance, particularly through appropriate testing, that the product is suitable for its intended use.
DERFI cannot be held liable for use of a product that is inconsistent with its intended purpose, technical specifications or the recommendations communicated..

12. Maintenance, repairs and custom services
Maintenance, repair, assessment, adaptation, conversion or custom manufacturing services are limited to the work expressly provided for in the quotation and order acknowledgement.
Any additional service or modification requested by the customer may be subject to an additional quotation or invoice.
The times stated for these services are indicative unless a written commitment to the contrary is given.

13. Studies, drawings and intellectual property
Studies, plans, drawings, technical documents, proposals, developments and projects produced or communicated by DERFI remain its intellectual property or that of their respective owners.
They may not be copied, reproduced, communicated to third parties or used without DERFI's prior written authorisation.

14. Retention of title
DERFI retains ownership of the goods sold until full payment of the price, including principal, interest, costs and ancillary charges.
The customer undertakes to store the goods so that they can be identified until full payment.
Risk transfers independently of ownership, in accordance with the delivery conditions set out in these CGV or the applicable Incoterm.

15. Liability
DERFI may be held liable only for direct, foreseeable and duly proven damage resulting from a breach attributable to it.
In particular, DERFI shall not be liable for indirect losses such as operating losses, production losses, loss of revenue, loss of margin, loss of customers or loss of profit.
Unless mandatory legal provisions state otherwise, DERFI's total liability in respect of an order shall not exceed the amount excluding tax (HT) actually paid by the customer for the order giving rise to the damage.
These limitations do not apply where prohibited by a mandatory legal provision.

16. Force majeure
DERFI shall not be liable for any delay or failure to perform resulting from a force majeure event within the meaning of French legislation.
For the duration of the force majeure event, obligations whose performance is prevented are suspended.

17. Applicable law and competent jurisdiction
These CGV and all commercial relationships between DERFI and its customers are governed by French law.
The parties shall endeavour to reach an amicable solution before any court proceedings.
WHERE THE CUSTOMER HAS THE STATUS OF A TRADER, ANY DISPUTE RELATING TO THE FORMATION, INTERPRETATION, PERFORMANCE OR TERMINATION OF THE CONTRACTUAL RELATIONSHIP SHALL FALL WITHIN THE EXCLUSIVE JURISDICTION OF THE BORDEAUX COMMERCIAL COURT, INCLUDING IN THE EVENT OF MULTIPLE DEFENDANTS OR THIRD-PARTY PROCEEDINGS.
For professional customers who do not have trader status, statutory rules on court jurisdiction apply.
If these CGV are translated into another language, the French version prevails in the event of any difference in interpretation.
